Licensing Agreement

Please Read the following terms and conditions before downloading any files from ProStock Photos. Your acceptance of these terms is an absolute condition of your use of any ProStock Photos' products.

1. Usage

The downloadable files contained on this site or included on the CD-ROM are for use in any electronic or print media, including advertising and editorial use, and consumer merchandise. You may modify or alter the image(s) as necessary for your use provided that the rights to any derivative work shall belong to ProStock Photos. You may, in the normal course of workflow, convey to a third party (such as a printer) temporary copies of the images that make up an integral part of your work product. The downloadable content & CD-ROM are licensed for a single user only and are non-transferable.

2. Use of Materials Provided.

The copyright laws of the U.S. and other countries protect all of the material on the ProStock Photos site. You are only allowed to use these materials as indicated in these terms & conditions. Other uses are prohibited by copyright laws. No material contained on the ProStock Photos website or CD-ROM (Stock Photos, Scenic Photos, Title Photos, Screen Savers etc.) may be copied, reproduced, retransmitted, distributed, commercially exploited or otherwise transferred in any copyrighted material in any format, electronic or otherwise.

3. Use of Materials for Print

Every effort has been made to ensure accurate reproduction when printing. However, due to variables beyond ProStock Photos' control, ProStock Photos will have no liability for inaccurate or unsatisfactory reproduction of images purchased and/or downloaded from their site. If the intended usage of any images purchased from ProStock Photos is for printing on a sheet fed, digital, web press or any other output device, ensure that:

a) All images are converted to CMYK color mode
b) All images are color corrected to your satisfaction
c) All images are color corrected according to recommendations of the press or output device's manufacturer

4. What Do I Do If You Think There May Be a Copyright Infringement?

If you believe that your material or the material of another has been wrongfully used, please contact us at . In order for us to investigate and address your complaint, please provide us with all information regarding the materials in question.

5. Emails to Members

As a client, we will keep you informed of major updates or revisions to the site by email. All ProStock Photos emails, including newsletters and announcements, will contain information on how to unsubscribe from that email list. In the event that you receive an email that you believe is unsolicited, please follow the instructions contained in the email for letting us know and we will make every effort to have your email address removed from future mailings.

6. You Agree To Indemnify ProStock Photos for Any Claims Resulting From Your Violation of These Terms and Conditions.

YOU AGREE TO INDEMNIFY AND HOLD PROSTOCK PHOTOS, ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, CO-BRANDERS, LICENSORS AND ANY OTHER PARTNERS AND EMPLOYEES HARMLESS FROM ANY AND ALL LOSSES, EXPENSES, DAMAGES OR COSTS, INCLUDING REASONABLE ATTORNEYS FEES, RESULTING FROM ANY VIOLATION OF THESE TERMS AND CONDITIONS, YOUR USE OF THE PROSTOCK PHOTOS SERVICE, AND THE CONDUCT OF ANOTHER ACCESSING THE PROSTOCK PHOTOS MATERIALS.

7. Warranties.

PROSTOCK PHOTOS EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

8. Limited Liability.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT PROSTOCK PHOTOS WILL HAVE NO LIABILITY FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH YOUR USE OF THE PROSTOCK PHOTOS SITE, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. ProStock Photos may Amend These Terms and Conditions At Any Time.

You agree that ProStock Photos reserves the right to amend these Terms and Conditions at any time, for any reason, and without notice, including the right to terminate ProStock Photos services or any part of the services.

10. This is The Entire Agreement Between You and ProStock Photos.

These Terms and Conditions constitute the entire agreement between you and ProStock Photos and govern your use of the ProStock Photos Site and services. This agreement supersedes any prior agreements between you and ProStock Photos. The failure of ProStock Photos to enforce any right or provision of this agreement does not constitute a waiver of the right or provision. If any portion of this agreement is deemed to be invalid, the other portions of the agreement will remain in full force and effect.
